Seed capital looks very different in 2026. Venture capital has not disappeared. In fact, total U.S. venture capital reached $58.7 billion in the first half of 2026, up from $56.5 billion in the first half of 2025. The important change sits inside that number. Capital now flows toward a smaller group of companies, while many early startups face a much harder path to fresh cash.
Seed capital shows this split very clearly. U.S. seed investment fell from $6.5 billion in the first half of 2025 to $3.8 billion in the first half of 2026. At the same time, later-stage capital rose sharply. Series C and later rounds reached $31.8 billion in the first half of 2026. This gap shows a market that rewards companies with strong proof more than companies with only a promising idea.
The result creates a difficult question for founders: how much cash should a young company seek at the seed stage? The answer cannot come from a single market average. The right amount must match the company’s product, team size, sales cycle, capital needs, growth plan and next major milestone.
The Typical Seed Round Has Become Larger
The size of a normal seed round has moved higher over the past few years. Crunchbase data shows that the median U.S. seed round reached about $3 million in 2025. That figure stands at about three times the 2018 level. The upper quartile reached about $5.6 million, while the lower quartile stood near $1 million.
Carta data shows an even stronger picture among software companies. A recent sample of more than 1,000 venture rounds shows a median seed valuation of $24.3 million against $4.1 million of new capital. Median dilution fell to 18%. The sample covers software companies and rounds from the prior six months, so it gives a useful view of current market terms rather than an old annual average.
These numbers do not mean every startup should seek $4 million. A median only marks the middle of a wide market. A software company with low costs and early revenue may need far less. A robotics company may need far more. A biotech company may need a large sum before it can reach its next scientific milestone.
The $2 Million to $4 Million Range Matters Most
For many venture-backed startups, the $2 million to $4 million range offers a practical seed target in 2026. This range can support a small product and sales team for a substantial period while the company works toward stronger proof of demand.
A company with a $150,000 monthly net cash burn needs $3 million for 20 months of basic runway. A 15% cash reserve adds another $450,000. That produces a target close to $3.45 million. Such a figure sits near the current seed market without forcing the company to chase an unusually large round.
The purpose of the cash matters more than the headline amount. A $3 million round has little value if the company spends the full sum without reaching a clear milestone. The same amount can create major value if it takes the business from an early product to repeat sales, strong retention and clear evidence of product-market fit.
A seed round should therefore support a specific change in the company. That change could mean a move from a prototype to a paid product, from early sales to repeatable sales, or from a small customer base to meaningful annual recurring revenue.
The Series A Problem Has Become More Important
The biggest issue in 2026 may not involve the size of the seed round itself. The harder issue concerns the distance between seed and Series A.
Crunchbase reports that startups now take longer to reach Series A, while a smaller share reaches that stage at all. The data also shows that seed rounds have grown much larger, with some companies now securing $8 million to $10 million at seed.
This creates a new pressure on seed-stage companies. A founder cannot assume that a new round will arrive after 12 months. The business may need enough cash to survive a longer period and still show strong progress.
A seed round that covers only basic operating costs may look safe at first. It can create trouble later if the company reaches the end of its cash runway before it has enough traction for Series A. A slightly larger round can make sense if the extra capital gives the company enough time to reach a much stronger position.
The key question becomes simple: what must the company prove before the next major round?
Revenue Has Become a Stronger Test
Investors now place greater value on clear business proof. Revenue does not matter equally for every startup, yet strong commercial evidence can make the next round far easier.
A software company may seek a seed round with a plan to reach several million dollars in annual recurring revenue before Series A. A deep-tech company may need a working product, customer trials or a major technical result instead. A biotech company may focus on clinical or laboratory milestones.
The amount of capital should match that path. A company with a short sales cycle and low product costs may reach its next milestone with $2 million. An enterprise software company with long contracts may need $4 million. A hardware company may need $6 million or more.
The strongest seed plans connect cash with measurable progress. Investors can then see how the capital should change the company rather than simply extend its life.
AI Has Distorted Seed Market Numbers
Artificial intelligence has created some of the largest changes in the seed market. Carta reports that AI startups captured 49% of all U.S. pre-seed dollars in the first half of 2026. That share almost matches the full-year 2025 figure of 50%.
AI also attracts unusually large early checks. Some companies can raise far more than a traditional seed company if investors expect rapid growth, strong technical advantages or huge infrastructure needs.
This creates a major risk for market comparisons. A normal software startup should not treat a massive AI round as a standard seed benchmark. Some AI companies need large sums for computing, technical staff and model development. Other AI products can reach customers with a small team and modest cash needs.
The market therefore has two very different seed worlds. One contains highly capital-intensive AI, robotics, biotech and deep-tech companies. The other contains capital-efficient software and service businesses. The correct seed target can differ by several million dollars.
Valuations Have Also Moved Higher
Seed valuations reached new highs in 2026. Carta’s latest data places the median seed valuation at $24.3 million for its recent software sample. Another Carta benchmark puts the median seed post-money valuation at $21.6 million in Q1 2026, up more than 40% from $15 million in 2021.
The upper end of the market looks far more extreme. The 95th-percentile seed valuation reached $200.4 million in Q2 2026, up from $72.2 million one year earlier.
That $200.4 million figure does not represent a normal seed valuation. It reflects a small group of exceptional companies. A founder should treat it as evidence of how high the top of the market has become, not as a target for an ordinary early-stage business.
For startups that seek $3 million to $5 million, Carta found a median valuation near $21 million across regions. That result shows that round size and valuation often sit within a fairly consistent range, even when geography changes.
Dilution Matters as Much as the Cash
A larger seed round can create a serious ownership cost. Carta’s recent software data shows median seed dilution at 18%. Earlier Carta data also found that fewer than 10% of software seed rounds in 2025 sold 30% or more of the company.
That makes a 30% seed sale unusual for a software startup. A large ownership sale may still make sense for a capital-heavy business, yet the terms deserve close attention.
The amount of cash should therefore connect to the ownership cost. A startup should not accept a much larger round simply to hold more cash if the extra capital adds little value.
A $3 million round at a sensible valuation can offer better long-term economics than a $5 million round with excessive dilution. The right choice depends on the milestone that each round can achieve.
Pre-Seed Capital Shows the Same Trend
The concentration of capital starts even before the seed stage. Carta reports that U.S. startups raised $3.19 billion across more than 11,500 pre-seed SAFEs and convertible notes in Q2 2026. In Q2 2025, startups raised $3.22 billion across 14,825 such instruments.
The average pre-seed instrument reached $276,000 in Q2 2026, a 27% rise from the prior year and a record for the past four-plus years. The number of deals fell while the average check rose.
The structure of these deals has also become more consistent. SAFEs accounted for 93% of pre-seed rounds in Q2 2026 and 95% of capital. Post-money SAFEs represented 91% of SAFEs. Among post-money SAFEs, 94% had a valuation cap in the first half of 2026.
For SAFEs above $2.5 million, the median valuation cap reached $35 million in Q2 2026, up 40% from a year earlier. The 75th percentile approached $60 million.
When a $5 Million to $10 Million Seed Round Makes Sense
Rounds above $5 million now appear more often than in earlier years. Crunchbase studied about 800 global seed deals of $5 million to $10 million that closed in 2026. The data shows clusters in areas such as cybersecurity, robotics, biotech, space technology, property technology and other capital-intensive sectors.
A $5 million to $10 million seed round can make sense when the business has a clear reason for the capital. Hardware may require factories, tools and inventory. Robotics may need expensive equipment and specialist engineers. Biotech may require costly research. AI infrastructure may require substantial compute and technical talent.
The same amount can look excessive for a simple software product with low operating costs. A startup should not copy a large seed round without a matching capital need.
The Best Seed Target for 2026
The strongest approach for 2026 starts with the next major company milestone rather than a market headline. A startup should estimate the cash needed for product work, salaries, sales, infrastructure and other core costs. The plan should then allow enough time for slower sales, delayed product work and a longer path to the next financing event.
For many startups, 18 to 24 months of runway offers a sensible target. A typical venture-backed software company may find $2 million to $4 million sufficient. A company with heavy technical or physical costs may need $4 million to $6 million or more.
The market does not reward a large round on its own. It rewards strong progress after the round. A $3 million seed that creates strong revenue, retention and product evidence can prove more valuable than a $7 million round that only extends the same uncertain business model.
The 2026 Rule
